LoreGraph is a brand and online service operated by Kayaan Labs LLC, a Washington limited liability company.

These Terms of Service ("Terms") govern your use of the LoreGraph platform ("LoreGraph" or "the Service"), which is owned and operated by Kayaan Labs LLC ("Company", "we", "us", "our"). LoreGraph is a brand of Kayaan Labs LLC. By accessing or using LoreGraph, you agree to these Terms.

1. Acceptance of Terms

• By accessing and using LoreGraph, you accept and agree to be bound by these Terms of Service and all applicable laws and regulations.

• If you do not agree with any of these terms, you are prohibited from using or accessing this platform.

• You must be at least 13 years old to use LoreGraph. If you are under 13, you may not use our service.

• These terms apply to all users of the service, including without limitation users who are browsers, vendors, customers, merchants, and contributors of content.

2. Service License and Commercial Use

• Subject to these Terms, we grant you a limited, non-exclusive, revocable, non-transferable license to access and use LoreGraph for personal, educational, and internal business purposes.

• If you use LoreGraph on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

• You may not copy, reproduce, resell, sublicense, reverse engineer, or misuse any part of the service, or use the service in violation of applicable law.

• Certain features may require a paid plan or a separate written agreement (such as a pilot agreement, order form, or enterprise contract). If there is a conflict, the separate written agreement controls for those services.

3. User Accounts and Registration

• To access certain features of our service, you must register for an account and provide accurate, current, and complete information.

• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

• You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

• We reserve the right to suspend or terminate your account if you violate these Terms of Service.

4. User Conduct

• You agree to use LoreGraph only for lawful purposes and in accordance with these Terms of Service.

• You agree not to use the service to: transmit any harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable content; impersonate any person or entity; violate any applicable laws or regulations; interfere with or disrupt the service or servers; or attempt to gain unauthorized access to any portion of the service.

• We reserve the right to remove any content that violates these terms or is otherwise objectionable.

5. Intellectual Property

• All content, features, and functionality of LoreGraph, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software, are the property of Kayaan Labs LLC and its licensors. "LoreGraph" is a brand name and not a separate legal entity.

• You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our platform without prior written consent.

6. User-Generated Content

• You retain ownership of any content you submit, post, or display on or through LoreGraph.

• By submitting content, you grant Kayaan Labs LLC a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, and display that content only as needed to operate, secure, and improve the service for you and your authorized users.

• This license does not transfer ownership of your content to Kayaan Labs LLC.

• You represent and warrant that you own or have the necessary rights to grant the license described above and that your content does not infringe any third-party rights.

7. Disclaimer of Warranties

• LoreGraph is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.

• We do not warrant that the service will be uninterrupted, secure, or error-free, or that defects will be corrected.

• We do not make any warranties or representations regarding the accuracy or completeness of the content on our platform.

8. Limitation of Liability

• In no event shall Kayaan Labs LLC, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the service.

• Our total liability to you for all claims arising from or related to the use of the service shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Indemnification

• You agree to indemnify, defend, and hold harmless Kayaan Labs LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the service, your violation of these Terms of Service, or your infringement of any intellectual property or other right of any person or entity.

10. Termination

• Kayaan Labs LLC may terminate or suspend your account and access to the service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms of Service.

• Upon termination, your right to use the service will immediately cease.

• All provisions of the Terms which by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law

• These Terms of Service shall be governed by and construed in accordance with the laws of the State of Washington, USA, without regard to its conflict of law provisions.

• Subject to Section 12 (Dispute Resolution and Arbitration), any disputes permitted to proceed in court shall be subject to the exclusive jurisdiction of the courts in the State of Washington, USA.

12. Dispute Resolution and Arbitration

• PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

• Any dispute, controversy, or claim arising out of or relating to these Terms of Service, or the breach, termination, or validity thereof, shall be resolved through binding arbitration under the rules of the American Arbitration Association (AAA).

• The arbitration shall be conducted in the State of Washington, USA, and shall be administered by the AAA in accordance with its Commercial Arbitration Rules.

• Notwithstanding the foregoing, claims that may be brought in small-claims court are excluded from this arbitration requirement.

• You and Kayaan Labs LLC agree that any arbitration shall be limited to the dispute between Kayaan Labs LLC and you individually, and you agree not to participate in any class action, class-wide arbitration, or representative proceeding.

13. Changes to Terms

• We reserve the right, at our sole discretion, to modify or replace these Terms of Service at any time.

• If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

• What constitutes a material change will be determined at our sole discretion.

• By continuing to access or use our service after any revisions become effective, you agree to be bound by the revised terms.
